These Terms apply to Sutando, including sutando.ag2.ai and related applications, websites, tools, software, integrations, and services provided by AG2AI, Inc. (“we,” “our,” or “us”).
Our service
Sutando is a personal AI agent service that may help users perform tasks through voice, text, screen context, meetings, calls, browser actions, files, connected applications, and local device automation.
Depending on the features enabled, Sutando may:
- Understand and respond to user instructions
- Process voice, text, screenshots, files, meetings, calls, and connected service data
- Interact with authorized applications and third-party services
- Join or assist with meetings and calls
- Help draft, summarize, research, code, automate, or execute tasks
- Run locally on a user device or interact with cloud-based services
- Use third-party AI models, transcription services, communication services, hosting providers, and integrations
Open-source software
Some Sutando-related software may be available as open-source software.
Open-source software is governed by the applicable open-source license in the relevant repository, not these Terms, unless you are using a hosted, managed, commercial, or separately provided Sutando service.
These Terms apply to Sutando services, websites, hosted features, managed features, commercial services, and related AG2AI offerings.
Account terms and access
To use certain Sutando features, you may need to create an account or configure access credentials.
You agree to:
- Provide accurate and complete information
- Keep your account and credentials secure
- Maintain current account and payment information, if applicable
- Be at least 18 years old or have legal authority to use the Service
- Use the Service only in compliance with applicable law
- Ensure anyone using the Service through your account complies with these Terms
If you use Sutando on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
User authorization and agent actions
Sutando may interact with your computer, browser, files, meetings, calls, messages, contacts, calendars, developer tools, cloud services, and third-party applications when authorized by you.
By enabling features, granting permissions, connecting accounts, or giving instructions, you authorize Sutando to access and process the information needed to perform the requested actions.
You are responsible for:
- Configuring permissions correctly
- Protecting credentials, API keys, tokens, phone numbers, and connected accounts
- Verifying trusted users, callers, integrations, and communication channels
- Reviewing and supervising actions taken by Sutando
- Confirming that Sutando’s actions are appropriate before relying on them
- Maintaining backups and recovery options for important files, code, systems, and data
AI-generated outputs and autonomous actions may be inaccurate, incomplete, unintended, unsafe, or inappropriate. You should review and validate outputs and actions before relying on them, especially for sensitive, legal, financial, employment, security, customer-impacting, production-impacting, or business-critical decisions.
Acceptable use
You may use Sutando for lawful personal, business, development, productivity, research, automation, and communication purposes within the scope of your access and service plan.
You may not use Sutando to:
- Violate any law or regulation
- Infringe intellectual property or privacy rights
- Generate or distribute illegal, harmful, abusive, deceptive, or discriminatory content
- Harass, threaten, impersonate, or harm others
- Access systems, accounts, files, meetings, calls, or data without authorization
- Record, transcribe, monitor, or process communications without required consent
- Share credentials or provide unauthorized access
- Bypass safety, security, rate limit, or access controls
- Use the Service to create malware, phishing, spam, fraud, or other harmful activity
- Use the Service beyond agreed scope, usage limits, or permissions
- Process personal data without a valid legal basis and required consent
- Use the Service in a way that creates legal, security, operational, or reputational risk for us or others
AI-specific restrictions
When using Sutando, you must not:
- Attempt to manipulate the AI system to bypass safety measures
- Use AI outputs as the sole basis for decisions that significantly affect individuals without human review
- Submit third-party confidential information without authorization
- Use the Service to impersonate real individuals without appropriate disclosure and consent
- Use the Service for regulated, high-risk, or safety-critical purposes without appropriate safeguards and human oversight
Your data
You retain ownership of the data, content, files, prompts, instructions, configurations, and other information you provide to Sutando or authorize Sutando to access (“Customer Data”).
You grant us a limited, non-exclusive license to use Customer Data only as needed to:
- Provide, operate, and improve Sutando
- Process your instructions and agent tasks
- Enable integrations and connected services
- Troubleshoot, secure, and support the Service
- Comply with legal obligations
- Generate anonymized or aggregated insights to improve the Service
You are responsible for ensuring you have the rights, permissions, and legal basis needed to provide or authorize access to Customer Data.
Third-party AI services and integrations
Sutando may use third-party AI model providers, transcription providers, voice providers, communication providers, hosting providers, analytics providers, authentication providers, and other service providers.
By using Sutando, you understand that:
- Your data may be processed by third-party providers when needed to provide the Service
- Third-party services may have their own terms and privacy policies
- We are not responsible for third-party services outside our control
- Third-party outages, limitations, rate limits, or policy changes may affect Sutando
- You must comply with applicable third-party terms when using connected services
Data security
We use reasonable security measures to protect the Service and Customer Data, including encryption, access controls, monitoring, and operational safeguards.
However, no service is completely secure. Because Sutando may interact with your local device, files, credentials, phone systems, meetings, calls, browser, and third-party accounts, you are responsible for using appropriate security practices, limiting permissions, protecting credentials, reviewing logs where available, and supervising sensitive actions.
Service availability
We aim to provide reliable service, but we do not guarantee:
- 100% uptime
- Error-free operation
- Uninterrupted access
- Compatibility with every device, application, browser, operating system, or integration
- Continued availability of third-party services
- That AI outputs or actions will always be correct, complete, safe, or useful
We may update, modify, suspend, or discontinue features with reasonable notice where practical.
Fees and payment
Some Sutando features may be free, open-source, paid, usage-based, subscription-based, or enterprise-specific.
You agree to pay applicable fees for any paid service plan or commercial agreement. Fees, billing terms, refunds, and usage limits may be described in your order form, service agreement, invoice, or posted pricing.
Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed in writing.
Intellectual property
We retain all rights, title, and interest in Sutando, AG2AI technology, software, systems, documentation, trademarks, service improvements, and related intellectual property, except for open-source components governed by their applicable licenses.
You retain ownership of your Customer Data.
AI-generated outputs
Subject to these Terms and applicable third-party provider terms, you may use AI-generated outputs created for you through Sutando.
However:
- AI outputs may not be unique
- Similar outputs may be generated for other users
- Outputs may be inaccurate, incomplete, or inappropriate
- You are responsible for reviewing and validating outputs before use
- You are responsible for ensuring your use of outputs complies with law and third-party rights
Feedback
If you provide feedback, suggestions, ideas, or recommendations, we may use them to improve Sutando and our services without obligation or compensation, unless otherwise agreed in writing.
Service limitations and disclaimers
Sutando and related services are provided “as is” and “as available.”
To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free operation, accuracy, reliability, and security.
You acknowledge that AI systems:
- May produce inaccurate, incomplete, biased, or unsafe results
- May misunderstand instructions or context
- May take unintended actions if permissions are granted
- Require human oversight
- Should not replace professional judgment
- Should not be solely relied upon for critical decisions
Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages
- We are not liable for lost profits, lost revenue, lost data, business interruption, security incidents caused by user configuration, or third-party service failures
- Our total liability is limited to the amount you paid us for the Service in the 12 months before the claim, or USD $100 if you did not pay for the Service
These limitations apply regardless of the legal theory and even if we were advised of the possibility of damages.
Termination
You may stop using Sutando at any time.
We may suspend or terminate your access if:
- You breach these Terms
- You fail to pay applicable fees
- Your use creates legal, security, operational, or reputational risk
- We are required to do so by law
- We discontinue the Service or relevant features
Upon termination:
- Your access to the Service may end immediately
- You remain responsible for unpaid fees
- We may delete or retain data according to our Privacy Policy and legal obligations
- Terms that by their nature should survive will continue to apply
Privacy
Our Privacy Policy explains how we collect, use, store, and protect information. The Privacy Policy is incorporated into these Terms.
Confidentiality
Both parties agree to protect confidential information using reasonable care and to use confidential information only for the purpose of providing or receiving the Service.
Confidential information does not include information that is public, already known, independently developed, or lawfully received from another source.
Governing law and jurisdiction
These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles.
Any legal disputes will be resolved exclusively in the state and federal courts located in King County, Washington, USA, unless otherwise required by applicable law.
Dispute resolution
Before starting legal proceedings, both parties agree to attempt to resolve disputes through good-faith communication.
If a dispute cannot be resolved informally, the parties will consider mediation or another mutually agreed dispute resolution process before litigation, where appropriate.
General terms
- If any part of these Terms is found unenforceable, the rest remains effective
- These Terms are the entire agreement between you and us regarding the Service
- We may assign these Terms in connection with a merger, acquisition, financing, restructuring, or sale of assets
- You may not assign these Terms without our written consent
- Our failure to enforce a provision is not a waiver
- Changes to these Terms may be posted on the website, sent by email, or provided through the Service
